KBRA Affirms Ratings for Knighthead Annuity & Life Assurance Company

KBRA affirms the A insurance financial strength rating (IFSR) of Knighthead Annuity & Life Assurance Company (KHAL) and the BBB+ long-term debt rating (LTCR) on KHAL’s outstanding $50 million Prescribed Capital Notes due 2042. The Outlook for both ratings is Stable.
Key Credit Considerations
The ratings reflect the company’s growing global asset-intensive (re)insurance business, strong capitalization, liquidity and financial flexibility, mature governance and risk management framework, differentiated asset strategy that seeks to optimize investment returns within clearly defined risk tolerances, and improving earnings quality as the franchise matures. KBRA believes that KHAL has successfully evolved from a niche (re)insurer supported primarily by Knighthead Capital’s investment platform into a growing, differentiated global asset-intensive (re)insurance franchise. The company combines an established international direct retail annuity business with a meaningful and growing US assumed reinsurance platform supported by expanding distribution capabilities and multiple avenues for future growth while continuing to leverage Knighthead Capital’s investment expertise. KBRA believes capitalization remains a key credit strength. KHAL maintains substantial excess capital above both Cayman Islands Monetary Authority regulatory requirements and internal capital targets. Strong capitalization is supported by demonstrated shareholder capital support, proven access to institutional capital, and modest financial leverage, providing significant financial flexibility to support continued growth and absorb the impacts of adverse market conditions. Liquidity is similarly strong, supported by substantial cash balances, conservative management of the funds withheld portfolio and disciplined asset-liability management. KHAL has developed a governance and enterprise risk management framework that has matured alongside the company's growth and increasing operational complexity. The Board maintains active oversight of risk appetite, capital management and strategic execution, while an embedded ERM framework, independent control functions and comprehensive stress testing support disciplined strategic execution and the prudent management of the company's differentiated investment strategy. KBRA views the strength of the governance and risk management framework as an important enabler of KHAL's continued evolution into a broader global asset-intensive (re)insurance franchise. KHAL's differentiated investment strategy continues to distinguish the company from other asset-intensive (re)insurers. While the general account maintains above-average exposure to equity, distressed credit and alternative investments, these risks are mitigated by a conservatively managed funds withheld portfolio, extensive stress testing, substantial excess capital, and Knighthead Capital's demonstrated investment capabilities. KBRA believes the company's gradual shift toward a more insurance-oriented asset allocation is improving the balance between return generation and earnings stability. Profitability is becoming more balanced as recurring spread income generated by the expanding international retail and reinsurance businesses contributes a larger share of earnings. While profitability remains meaningfully influenced by investment performance within the general account and continues to be concentrated within the Direct segment, management expects investment returns to normalize over time. KBRA believes the quality and sustainability of earnings are improving as the platform matures.
The ratings are constrained by concentrated earnings and product mix. Despite continued improvement in international geographic distribution and product diversification, earnings remain concentrated within the direct segment and the international retail business remains heavily focused on Multi Year Guaranteed Annuity (MYGA) products. While KBRA views MYGAs as a relatively low risk spread product, the current earnings profile remains less diversified than that of some other annuity writers.
Rating Sensitivities
Positive rating action could occur if there is sustained growth in recurring spread income, greater earnings diversification across geographies and products and/or continued improvement in the quality and predictability of earnings.
Negative rating action could occur if there is material deterioration in capital or liquidity, earnings become persistently more volatile or more dependent on investment performance than forecast, risk appetite materially increases or execution of KHAL’s growth strategy results in materially weaker financial or operating performance.
